Why Hire AJS Stable Capital

EXPERTISE & EXPERIENCE

M&A advisors have specialized knowledge and experience that can help a company get the best outcome from a deal and have a much higher closing success rate.

Hiring an M&A advisor adds credibility, giving prospective buyers the impression that there are competing strategic buyers for the business, and they need to come forward with reasonable terms to have a chance at acquiring the company.

When an M&A advisor is involved, buyers know they are dealing with a sophisticated party that knows industry trends, terms and shows the buyers that the seller is committed to the sale.

M&A advisors can provide unbiased advice, even when emotions might be running high; it’s advantageous for the M&A advisor to play the more adversarial role of negotiator - emotions can often play an unwanted role at the negotiation table, and it’s easier for an M&A advisor to be more level-headed about the process than it is for a founder with close personal ties to the business.

You have a professional on your side, looking out for your best interests, negotiating against professionals whose specialty is buying or investing in businesses; you want someone on your side who also knows the tricks of the trade to level the playing field against buyers/investors that know all of the tricks of the trade.

Risk management - M&A advisors can help identify risks before and during the due diligence phase.

ACCESS TO NETWORKS

M&A advisors have large networks of potential buyers and sellers; more parties, more competition.

M&A advisors provide insights regarding who pays top dollar, who honors their word, and who would be the best fit for the seller.

Founders and business owners have found it difficult to manage multiple buyers or investors at once and often lack the network to create a robust market of buyers or investors.

There is a massive increase in interested parties once an M&A advisor is brought onboard – and many of those parties will have been previously unknown to the founder/owner.

VALUATION AND TERMS

Studies show that hiring an M&A advisor yields a higher purchase price for sellers (premiums of 25%+ and an average EBITDA multiple of 1.5x higher).

M&A advisors can help realize the best terms – e.g., greater cash paid up-front with the best terms.

M&A advisors create a competitive dynamic between the parties will naturally create more leverage for the seller that ultimately leads to stronger bids with optimized terms as well as greater certainty of a closed transaction.

M&A advisors help make sure that the other terms in the deal are fully aligned with your desired exit strategy and personal goals.

M&A advisors will set the pace of the process, and if one party is moving at that pace then the other parties are incentivized to also move at that pace if they ultimately want to win; healthy competition complements this effort to create urgency.

Negotiation does not stop with a term sheet either – it goes all the way through to the end when definitive documents are signed. Leverage needs to be applied continuously until the deal closes.

TIME

Selling a company is a fulltime job and takes a lot of time and energy away from running your business – and your personal life; hiring an M&A advisor will give you time back.

Creates efficiency - M&A advisors help streamline the M&A process, saving time and resources.

M&A advisors insert themselves as the main point of contact to control timing, and messaging, answer questions, create consistency, generate competition, create urgency, and negotiate terms.

M&A advisors enable you to focus on your core business while we take the burden of managing the process, reducing your stress levels related to the sale of your business, maximizing speed and certainty of close, optimizing the terms, and maximizing valuation.
